Anthid Terms and Conditions

IMPORTANT NOTICE: THE SERVICES ARE PROVIDED "AS IS," ON A STRICTLY BEST-EFFORT BASIS, WITH NO GUARANTEES OF ANY KIND AND NO SERVICE LEVEL AGREEMENT. EXECUTION IS NOT GUARANTEED. RELAY AND DELIVERY OF ORDERS, EVENTS, AND DATA ARE NOT GUARANTEED. DATA MAY BE LOST. MISTAKES AND ERRORS CAN AND WILL OCCUR. YOU ARE SOLELY RESPONSIBLE FOR MONITORING YOUR ACCOUNTS AND FOR STOPPING EXECUTION YOURSELF.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Anthid LLC, a limited liability company organized under the laws of the State of Delaware ("Anthid," "we," "our," or "us"), including our APIs, streaming infrastructure, order management systems, dashboards, insights, and related systems (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

2. Description of Services

Anthid provides software infrastructure for broker integrations, order management, and real-time event streaming. The Services are intended for developers and businesses building trading systems.

Anthid does not operate as a broker, dealer, exchange, investment adviser, or financial intermediary of any kind.

Every part of the Services — including order handling, event relay, data delivery, dashboards, and account insights — is provided on a strictly best-effort basis. Anthid guarantees nothing.

3. Alpha / Pre-Release Status

The Services are currently provided in an alpha or pre-release state. You acknowledge and agree that:

  • The Services are experimental and subject to material instability;
  • Outages, delays, data loss, duplication, or reordering of events may occur at any time;
  • Breaking changes may be introduced at any time, including to API contracts, event schemas, data formats, and authentication mechanisms;
  • Backward compatibility is not guaranteed;
  • Anthid has no obligation to provide advance notice of any such changes.

The Services may be modified, limited, suspended, or discontinued at any time without notice and without liability.

4. No Guarantees; No Service Level Agreement (SLA)

THE SERVICES ARE PROVIDED WITHOUT A SERVICE LEVEL AGREEMENT OF ANY KIND. THERE IS NO SLA FOR ANY PART OF THE SERVICES.

Unless expressly agreed in a separate written agreement signed by Anthid:

  • The Services are provided without any uptime guarantee, latency guarantee, availability commitment, or support-response commitment;
  • Anthid does not guarantee delivery, relay, ordering, uniqueness, or timeliness of any event, message, or data;
  • Anthid does not guarantee persistence or durability of any data — data may be delayed, corrupted, duplicated, or permanently lost;
  • Anthid does not guarantee the accuracy, completeness, or timeliness of any dashboard, insight, notification, or reporting feature;
  • Mistakes, errors, and failures can and will occur.

Any references to performance, reliability, or availability — in documentation, marketing materials, status pages, or otherwise — are informational only and are not binding commitments.

5. No Guarantee of Execution or Relay

ANTHID DOES NOT GUARANTEE THAT ANY ORDER OR INSTRUCTION SUBMITTED THROUGH THE SERVICES WILL BE TRANSMITTED, RELAYED, RECEIVED, ACCEPTED, EXECUTED, MODIFIED, OR CANCELED — IN WHOLE OR IN PART, ON TIME, OR AT ALL.

You acknowledge and agree that:

  • Orders and instructions may be lost, delayed, duplicated, rejected, misrouted, or silently dropped at any point between your systems, the Services, and any broker or venue;
  • An acknowledgment from the Services does not mean an order reached a broker or was executed, and the absence of an error message does not mean an operation succeeded;
  • Cancellation and modification requests may fail or arrive late — an order you attempt to cancel may still execute in whole or in part;
  • Order statuses, fills, positions, and balances shown by the Services may be stale, incomplete, duplicated, or incorrect;
  • Your broker’s own records are the sole authoritative source of truth, and you must confirm all order activity directly with your broker.

Anthid disclaims all responsibility and liability arising from failed, delayed, partial, duplicated, or erroneous transmission, relay, or execution of any order or instruction.

6. Data Loss and Data Integrity

You acknowledge and agree that:

  • Any data within the Services may be permanently lost at any time, without notice and without possibility of recovery;
  • Anthid does not guarantee that any backups exist or are usable;
  • Event streams may be incomplete, out of order, duplicated, or missing entirely;
  • You are solely responsible for maintaining your own independent records of all orders, executions, positions, balances, and account activity.

The Services must not be treated as a system of record for any purpose.

7. API and Usage Terms

You agree to:

  • Use the Services only through documented interfaces;
  • Comply with all rate limits and usage restrictions;
  • Not attempt to reverse engineer, overload, or disrupt the Services;
  • Implement reasonable retry, backoff, and idempotency logic.

Anthid may:

  • Enforce rate limits, quotas, or throttling;
  • Modify or deprecate endpoints without notice;
  • Suspend access to protect system integrity.

8. Your Sole Responsibility for Monitoring, Risk, and Stopping Execution

You assume full and sole responsibility for all use of the Services and for all activity in your accounts. This includes, without limitation:

  • Monitoring all broker accounts, orders, positions, and balances yourself, in real time, directly with your broker — not through the Services alone;
  • Detecting mistakes, errors, and unexpected behavior, whether caused by you, by Anthid, by a broker, or by any third party;
  • Stopping, halting, or canceling execution yourself, including maintaining your own independent kill switches, circuit breakers, and position limits that do not depend on the availability or correctness of the Services;
  • Validating all data received from the Services before relying on it;
  • Implementing real-time monitoring, alerting, and other safeguards;
  • Ensuring the correctness of your trading logic and execution;
  • Reconciling all activity against your broker’s records.

Anthid may provide dashboards, insights, notifications, alerts, or other monitoring features into various parts of the Services. These are best-effort, informational conveniences only. They may be delayed, incomplete, inaccurate, or unavailable, and they must never be relied upon as your sole or primary means of monitoring or risk control. Anthid does not monitor your accounts, orders, or positions on your behalf.

The Services may produce incorrect, delayed, duplicated, or missing data; orders may be created, modified, or canceled incorrectly due to system faults; and event streams may be out of order or incomplete. Mistakes and errors can and will happen. You are solely responsible for detecting, correcting, and mitigating all such conditions.

9. No Investment Advice

Anthid does not provide investment, financial, legal, or tax advice. The Services are purely technical infrastructure. All trading decisions are made solely by you, at your own risk.

10. Third-Party Systems and Brokers

The Services depend on third-party systems, including brokers and market data providers. Anthid:

  • Does not control these systems;
  • Does not guarantee their availability, accuracy, or performance;
  • Is not responsible for discrepancies between data shown by the Services and broker records.

You are responsible for reconciling all external systems. In the event of any discrepancy, your broker’s records control.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

ANTHID EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF DATA;
  • CONTINUOUS, UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION;
  • THAT ORDERS WILL BE TRANSMITTED, RELAYED, OR EXECUTED;
  • THAT DATA WILL BE PRESERVED OR NOT LOST.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTHID SHALL NOT BE LIABLE FOR ANY:

  • TRADING LOSSES;
  • LOSSES ARISING FROM FAILED, DELAYED, DUPLICATED, OR ERRONEOUS ORDER TRANSMISSION, RELAY, EXECUTION, MODIFICATION, OR CANCELLATION;
  • LOST PROFITS OR REVENUE;
  • DATA LOSS OR CORRUPTION;
  • SYSTEM FAILURES OR INTERRUPTIONS;
  • INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES;

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, ANTHID’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO ANTHID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Anthid, its affiliates, and their respective members, managers, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Services;
  • Your trading activity;
  • Your failure to monitor your accounts or to stop or correct execution;
  • Your violation of these Terms;
  • Your integration with third-party systems.

14. Suspension and Termination

Anthid may suspend or terminate your access to the Services at any time, with or without notice, including for:

  • Violations of these Terms;
  • Excessive or abusive usage;
  • Security risks.

Anthid shall not be liable for any damages resulting from suspension or termination, including open orders or positions affected by the loss of access. You remain solely responsible for managing your accounts and positions directly with your broker during any suspension, termination, or outage.

15. Modifications to Services and Terms

Anthid may modify or discontinue any part of the Services at any time, and may update these Terms at its discretion. Continued use of the Services constitutes acceptance of the updated Terms.

16. Compliance with Laws

You are responsible for ensuring that your use of the Services complies with all applicable laws, including financial and trading regulations in your jurisdiction. Anthid does not represent that the Services are appropriate or lawful for use in any specific jurisdiction.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to personal jurisdiction and venue in those courts.
